These Terms of Service (“Terms”) govern your use of the EXPOSED website, online store, products, services, and custom artwork services.

Throughout these Terms, “EXPOSED,” “we,” “us,” and “our” refer to EXPOSED, operated by Opticensor Technologies Inc.

By visiting our website, placing an order, submitting material for a custom project, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, you should not use our website or purchase our products or services.

1. ABOUT EXPOSED

EXPOSED creates physical artworks produced on authentic medical imaging film, including limited editions, seasonal works, custom EXPOSE ME commissions, corporate projects, and other special editions.

2. ONLINE STORE

Our online store is hosted on Shopify. Shopify provides the ecommerce platform that allows us to offer our products and services to you.

Your purchase is made from EXPOSED, not from Shopify.

Certain payment, checkout, shipping, analytics, and other services may be provided by third-party service providers.

3. ELIGIBILITY

By using this website or placing an order, you confirm that you are legally capable of entering into a binding contract under the laws applicable to you.

You may not use our products or services for unlawful purposes or use the website in a manner that violates applicable laws or regulations.

4. PRODUCTS AND ARTWORKS

We make reasonable efforts to display our products, artwork, materials, dimensions, colors, transparency, density, and other characteristics accurately.

However, differences may occur because of screen settings, photography, lighting, production conditions, framing, film batches, and the physical characteristics of medical imaging film.

Medical imaging film is a specialized translucent material. Small variations in density, surface appearance, film edge, tonal reproduction, or other characteristics inherent to the production process are not necessarily defects.

Unless otherwise stated, frames, lightboxes, mounts, display accessories, and room settings shown in product images are illustrative and are not included with the artwork.

Product availability may change without notice.

5. LIMITED EDITIONS

Where an artwork is described as a limited or numbered edition, the edition size stated on the relevant product page applies.

Where applicable, artworks may include an edition number, archive reference, certificate of authenticity, provenance record, or other identifying information.

Purchasing an artwork does not transfer copyright or other intellectual property rights in the underlying image or artwork unless expressly agreed in writing.

6. ORDERS

We reserve the right to accept or decline any order.

An order is not considered accepted until we have successfully processed it and, where applicable, issued an order confirmation.

We may cancel or limit an order if:

  • a product is unavailable;

  • pricing or product information contains an obvious error;

  • payment cannot be processed;

  • we reasonably suspect fraud or unauthorized activity;

  • shipping to the requested destination is unavailable; or

  • fulfilling the order would violate applicable law.

If we cancel an order after payment has been collected, any amount due will be refunded using the appropriate payment method.

7. PRICES AND PAYMENT

Prices are displayed in the currency shown on the website.

Shipping charges, taxes, duties, import fees, and other applicable charges may be calculated separately and displayed before checkout where applicable.

You agree to provide accurate and current billing and payment information.

We may change prices at any time, but a price change will not affect an order that we have already accepted, except where correction of an obvious pricing error is permitted by applicable law.

8. CUSTOM WORKS — EXPOSE ME

EXPOSE ME projects are custom artworks created using customer-supplied material or according to customer instructions.

Source material may include X-rays, CT or MRI exports, ultrasound images, medical scans, photographs, artwork, graphics, objects, designs, or other files.

Custom projects may involve crop adjustments, tonal balancing, contrast optimization, composition adjustments, preparation for medical imaging film, and other production work agreed with the customer.

A proof may be provided for approval before final production.

Once you approve a proof, you are responsible for reviewing the content, crop, spelling, composition, and other visible details before production begins.

9. CUSTOM AND PERSONALIZED WORKS ARE FINAL SALE

Custom works, including EXPOSE ME commissions and artwork made to your specifications or using your supplied files or images, are made to order.

Custom and personalized works are final sale and cannot be returned, exchanged, or refunded because you change your mind.

Where applicable law provides an exception to a general right of withdrawal for goods that are made to order or clearly personalized, that exception applies to our custom works.

Nothing in this section limits rights that cannot legally be excluded, including rights relating to goods that are defective, damaged, incorrect, or otherwise non-conforming.

10. CUSTOMER-SUPPLIED MATERIAL

By submitting an image, scan, photograph, artwork, logo, design, file, or other material to EXPOSED, you confirm that:

  • you own the material or have permission to use it;

  • you have the necessary rights to authorize us to reproduce and process it;

  • our use of the material as requested by you will not infringe another person's copyright, trademark, privacy, publicity, or other rights; and

  • the material does not contain unlawful content.

You grant EXPOSED a limited license to use, reproduce, modify, process, crop, resize, convert, and otherwise handle the supplied material as reasonably necessary to prepare, manufacture, deliver, and support your project.

Ownership of your original supplied material remains with you or its respective rights holder.

11. PRIVACY AND MEDICAL IMAGES

Customers submitting medical imagery should remove patient-identifying information wherever reasonably possible before providing files to EXPOSED.

You should not submit medical records or sensitive personal information that is unnecessary for producing the artwork.

Personal information is handled in accordance with our Privacy Policy.

12. NO MEDICAL SERVICE OR DIAGNOSIS

EXPOSED is an art and production service.

We do not provide medical advice, medical interpretation, diagnosis, treatment, radiology services, or healthcare services.

Any medical images used in our products or custom projects are treated as visual source material for artistic purposes.

You should not rely on an EXPOSED artwork for medical or diagnostic purposes.

13. CORPORATE AND COMMERCIAL PROJECTS

Corporate projects may be subject to a separate quote, proposal, purchase order, project specification, or written agreement.

Where a separate written agreement conflicts with these Terms, the separately agreed written terms will control for that project.

Corporate clients are responsible for ensuring that logos, trademarks, product images, campaign materials, and other assets supplied to EXPOSED may legally be used for the commissioned project.

14. SHIPPING AND DELIVERY

Delivery estimates are estimates and are not guarantees unless expressly agreed otherwise.

Delivery times may be affected by production schedules, carriers, customs, weather, holidays, availability of medical imaging film, or circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

Any applicable import duties, customs fees, local taxes, or similar charges are the customer's responsibility unless otherwise stated during checkout or required by applicable law.

Risk and ownership of products transfer as provided under applicable law and the shipping terms applicable to your order.

15. RETURNS AND REFUNDS

Returns and refunds are governed by our Return Policy, which forms part of these Terms.

Eligible standard products may be returned in accordance with that policy.

Custom and personalized works are subject to the separate final-sale provisions described above.

Mandatory consumer rights under applicable law are not excluded.

16. DAMAGE IN TRANSIT

Please inspect your order promptly after delivery.

If an artwork arrives damaged, defective, or incorrect, contact us as soon as possible at exposed@exposed.me and provide your order information and reasonable photographic evidence of the issue.

We will assess the issue and provide the remedy required by applicable law or otherwise agreed with you.

17. INTELLECTUAL PROPERTY

Unless otherwise stated, all content appearing on the EXPOSED website is owned by or licensed to EXPOSED, including:

  • artwork;

  • photographs;

  • graphics;

  • designs;

  • text;

  • branding;

  • logos;

  • product names;

  • collection names;

  • website layouts;

  • video;

  • marketing materials; and

  • other creative content.

You may not reproduce, distribute, modify, commercially exploit, sell, license, publish, or create derivative commercial works from EXPOSED content without prior written permission.

Purchasing a physical artwork gives you ownership of that physical object. It does not transfer copyright, reproduction rights, trademark rights, or other intellectual property rights.

18. PERSONAL USE AND RESALE

Unless otherwise agreed, artworks purchased through the store may be privately owned, displayed, gifted, or resold as physical objects.

You may not reproduce an artwork for commercial sale, merchandise, advertising, digital distribution, NFTs, prints, posters, or other reproductions without written authorization from the relevant rights holder.

19. PROHIBITED USE

You may not use our website or services:

  • for unlawful or fraudulent purposes;

  • to violate intellectual property rights;

  • to submit material you do not have the right to use;

  • to distribute malicious software;

  • to interfere with the security or operation of the website;

  • to collect information about other users without authorization;

  • to impersonate another person or organization; or

  • to attempt unauthorized access to our systems or third-party services.

We may suspend or terminate access where we reasonably believe these Terms have been violated.

20. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to third-party websites or use third-party services, including payment processors, delivery services, social media platforms, analytics providers, and Shopify services.

We are not responsible for third-party websites, services, content, or policies except to the extent required by applicable law.

Your use of third-party services may be subject to their own terms and privacy policies.

21. WEBSITE AVAILABILITY

We aim to keep our website and services available, but we do not guarantee uninterrupted or error-free access.

We may modify, suspend, update, or discontinue parts of the website where reasonably necessary.

We are not responsible for temporary interruptions caused by maintenance, technical failures, third-party service providers, network outages, or events outside our reasonable control.

22. ERRORS AND INACCURACIES

Occasionally, information on our website may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping, or other information.

We reserve the right to correct errors and update information.

Nothing in this section limits rights that consumers have under applicable law.

23. WARRANTIES AND STATUTORY RIGHTS

Nothing in these Terms excludes or limits warranties, guarantees, remedies, or consumer rights that cannot lawfully be excluded or limited.

Where mandatory consumer protection laws apply, those laws take priority over any conflicting provision of these Terms.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, EXPOSED will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from use of the website or products where such liability may legally be excluded.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer protection law.

25. INDEMNIFICATION

To the extent permitted by law, you agree to be responsible for losses, claims, or expenses arising from material you submit to EXPOSED where you did not have the necessary rights or permission to authorize its use.

This provision does not apply to the extent that responsibility results from an act or omission of EXPOSED.

26. PRIVACY

Our collection and processing of personal information is governed by our Privacy Policy and applicable privacy laws.

By using our website, you acknowledge that information may be processed by Shopify and other service providers necessary to operate our store and fulfill transactions.

27. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our business, services, legal obligations, or website.

The current version will be published on our website with the updated revision date.

Changes do not retroactively remove rights that already apply to completed purchases.

28. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

29. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.

30. GOVERNING LAW

These Terms and transactions with EXPOSED are governed by applicable law.

To the extent legally permitted, matters relating to Opticensor Technologies Inc. are governed by the laws applicable to the company in the United States.

However, if you are a consumer, nothing in these Terms deprives you of mandatory consumer protections or rights available to you under the laws that apply in your country of residence.
